The first cheque is a belief, not a valuation
Why we price pre-seed rounds on the size of the wedge, not the size of the spreadsheet — and what that means for dilution math.
Every few weeks a founder sends us a spreadsheet to justify a pre-seed valuation. Comparable rounds, revenue multiples on revenue that does not exist yet, a discount rate borrowed from a textbook. We understand the instinct — numbers feel safer than conviction — but at this stage the spreadsheet is theatre. There is nothing to measure yet.
What actually gets priced at pre-seed is the wedge: the specific, narrow claim about the world that this company will prove or disprove with its first product. A sharp wedge — one that names a buyer, a broken workflow, and a reason the incumbents cannot follow — deserves a strong price, because proving it creates a company. A vague wedge deserves a cautious one, however impressive the deck around it.
“A pre-seed valuation is not a measurement. It is a bet, priced.”
This is why two teams with identical CVs can raise at very different valuations and both be priced fairly. The question is not "what is this team worth" but "how much does the world change if their claim is true, and how quickly will we know". Belief, bounded by evidence that can arrive early, is the entire model.
For founders, the practical consequence is about dilution. If a bigger number today requires widening the wedge in the pitch — adding markets, adding products, adding the word platform — the extra valuation is usually borrowed from your Series A story, at a punishing interest rate. You will spend eighteen months being measured against claims you never intended to prove first.
Our advice, which costs us leverage more often than it wins us any: pick the valuation that lets you prove the narrow claim with room to miss once. Take dilution seriously, but take drift more seriously. A clean wedge, proven, re-prices everything that follows — far more than a heroic pre-seed print ever will.
